Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Plastr, operating as FlyDocs ("we", "our", or "us"). They govern your access to and use of the FlyDocs website (flydocs.ai), cloud dashboard (app.flydocs.ai), CLI tools (the @flydocs/cli npm package), and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

FlyDocs is an AI development workflow platform. The CLI installs structured context, skills, hooks, and slash commands into your project so AI coding tools follow your team's process. The Service is available in three tiers:

  • Free (Local) tier — No account required. Runs entirely on your machine, with no data transmitted to our servers (except optional anonymous CLI telemetry).
  • Solo tier (paid) — Adds cloud features for individual developers: 1 workspace, up to 5 repositories, the dashboard at app.flydocs.ai, the relay API for Linear and Jira, and cloud-managed configuration.
  • Team tier (paid) — Everything in Solo, plus unlimited workspaces and repositories, member management, and team-level configuration. Subject to a minimum number of seats and a per-organization seat cap as published on the pricing page.

The Service may change over time as we add, modify, or remove features. We will provide reasonable notice for significant changes that affect paid plans.

3. Account Registration

The Free (Local) tier does not require an account. To use cloud features, you must create an account and:

  • Provide accurate and complete registration information
  • Keep your account credentials, FlyDocs API keys, and connected provider tokens secure and confidential
  • Notify us promptly of any unauthorized access to your account or compromised credentials
  • Be at least 18 years old and using the Service for professional software development purposes

You are responsible for all activity that occurs under your account and any FlyDocs API keys issued to your organization, whether or not you authorized that activity.

4. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property or other rights of third parties
  • Attempt to gain unauthorized access to the Service, the relay API, or any other customer's workspace
  • Interfere with, disrupt, or place an undue burden on the Service, including circumventing rate limits or quota
  • Use the Service for any illegal, harmful, abusive, or fraudulent purpose
  • Reverse engineer, decompile, or attempt to extract the source code of the cloud Service
  • Use automated systems to scrape, crawl, or access the Service without our written permission
  • Resell, sublicense, or redistribute the cloud Service without authorization
  • Use the Service to generate or distribute malware, harassing content, or content that violates third-party rights

We reserve the right to suspend or terminate accounts that violate these terms. We may cooperate with law enforcement where required.

5. Your Code and Content

You retain full ownership of your source code, project files, and any content you create or manage using the Service. FlyDocs does not claim any ownership or intellectual property rights over your code.

We do not store the contents of your source code on our servers. The relay API operates on metadata, configuration, and the structural information described in our Privacy Policy. Where you opt into codebase scanning, only the inputs listed in the Privacy Policy (file tree, manifests, IDE configuration, and similar metadata) are sent to the AI provider for context generation; raw source code is not transmitted or persisted.

By using the cloud tier, you grant us a limited, non-exclusive, royalty-free license to host, process, and transmit your data solely as necessary to provide the Service. This license ends when you delete the relevant data or your organization.

You are responsible for ensuring you have the necessary rights to any code or content you use with the Service, and for the actions of any AI agent operating under credentials you have provided.

6. Intellectual Property

The Service — including its software, documentation, website, branding, and original content — is owned by Plastr and protected by applicable intellectual property laws.

These Terms do not grant you any right to use our name, logo, trademarks, or branding without prior written permission.

The Free (Local) tier and the published @flydocs/cli package are provided under a license that permits use in accordance with these Terms. They do not constitute a transfer of ownership.

7. Payment and Billing

The Free (Local) tier is free. Cloud tier features (Solo and Team) require a paid subscription processed by Stripe. For paid plans:

  • Fees are billed in advance on a monthly or annual cycle, as you selected at signup
  • All fees are stated in US dollars unless otherwise indicated
  • You authorize us and Stripe to charge your payment method for all applicable fees and taxes
  • We may change pricing or seat limits with at least 30 days notice before your next billing cycle
  • You are responsible for any applicable taxes

7.1 Free trials

Paid subscriptions begin with a 7-day free trial. We require a payment method at signup, but no charge is made during the trial period. If you do not cancel before the end of the trial, the subscription automatically converts to a paid subscription at the rate displayed during checkout, billed to the payment method on file. You may cancel the trial at any time before the end of the 7 days through the Stripe customer portal linked from your account, and you will not be charged. Trials are limited to one per organization.

7.2 Refunds

Because every paid subscription begins with a 7-day free trial during which you can cancel at no cost, refunds are provided only where required by applicable law.

If payment fails, we may suspend access to cloud features until the balance is resolved. Your Free (Local) tier access is unaffected by billing issues.

8. Third-Party Services and Integrations

The Service integrates with third-party services that you choose to connect — including Linear, Jira, GitHub, GitLab, and Bitbucket. Use of those services is governed by their own terms and privacy policies. You are responsible for any fees, quota limits, or compliance requirements imposed by those providers, and for ensuring you have authority to connect them on behalf of your organization.

We disclaim responsibility for the availability, accuracy, or behavior of third-party services. If a third-party provider changes its terms, pricing, or API, we may need to modify or discontinue the integration.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes what data we collect, how we use it, and what we do not collect. The Privacy Policy is incorporated into these Terms by reference.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that AI-generated outputs will be accurate, complete, or fit for any particular purpose. You are responsible for reviewing AI-generated output before relying on it. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLYDOCS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars (USD $100), whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Plastr, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your code or content, your connected third-party providers, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

You may stop using the Service at any time. You may delete your organization through the dashboard, which triggers a cascading deletion of your organization's workspaces, repositories, generated context, API keys, provider connections, usage logs, and related records, as described in our Privacy Policy.

We may suspend or terminate your access to the Service at any time if you breach these Terms, if required by law, if your account is delinquent, or if we discontinue the Service. Where practical, we will provide advance notice.

Upon termination, your right to use cloud features ends immediately. We will delete your organization's data on the schedule described in the Privacy Policy, except where retention is required by law or for billing and tax compliance. Your local installation and any locally stored data remain yours.

14. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the effective date at the top of this page. For material changes, we will provide notice through the Service or by email at least 30 days before the changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and may delete your organization as described in Section 13.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service that cannot be resolved through good-faith negotiation shall be submitted to the courts of competent jurisdiction.

16. General Provisions

  • Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and FlyDocs regarding the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure — We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
